1. INTRODUCTION
Welcome to BorderlessPro. We are a talent matching platform that connects businesses with top-tier freelance professionals. By accessing or using our services, you agree to comply with and be bound by these Terms of Service.
These terms apply to all users of our services, including Clients and Freelancers. If you do not agree with any part of these terms, please refrain from using our services.
2. DEFINITIONS
- Client – Any person or entity seeking freelance services through BorderlessPro.
- Freelancer – A vetted professional engaged through BorderlessPro to deliver services.
- Project – A defined scope of work based on a signed agreement.
- Milestone – A payment-based segment within a project linked to specific deliverables.
- Escrow – A secure, temporary holding of client funds until milestone approval.
- Agreement – The contract signed by the Client and BorderlessPro outlining project scope, timeline, and payments.
3. HOW OUR SERVICE WORKS
- Discovery Call – Clients begin with a free consultation to define their needs.
- Proposal & Agreement – Based on the call, we send a tailored proposal and contract.
- Freelancer Match – A vetted expert or team is assigned to your project.
- Project Execution – Work begins after initial payment is made.
- Payments & Milestones – Clients approve milestones; payments are released upon delivery.
- Completion – Project is closed and all files, rights, and reports are handed over.
4. PAYMENT TERMS
- All payments are processed through BorderlessPro.
- Freelancers are prohibited from accepting direct payments.
- We offer two payment models:
- 50/50 model: 50% upfront, 50% upon completion.
- Milestone model: Divided into 2–4 milestone payments as defined in your contract.
- BorderlessPro deducts a 30% facilitation fee from each freelancer payout.
- Invoices are issued once the client approves the project scope.
- All funds are held securely and only released after milestone approval.
5. REFUNDS
Refunds are considered under the following conditions:
- No work delivered within the agreed timeframe.
- Delivered work does not meet agreed standards and revision is refused.
- Dispute is not resolved within 14 days and confirmed by BorderlessPro.
Refunds will not be issued for:
- Change of mind after project initiation.
- Delays caused by Client unresponsiveness.
- Dissatisfaction with subjective elements when core delivery meets scope.
All refund claims must be made in writing to: support@borderlesspro.com
6. INTELLECTUAL PROPERTY (IP)
- All project assets, files, and source materials remain the property of the Freelancer and BorderlessPro until full payment is received.
- Upon complete payment, IP rights are transferred to the Client, unless otherwise specified in writing.
- Unauthorized use of work before payment is a breach of contract.
7. CONFIDENTIALITY & NON-DISCLOSURE
- All parties agree to maintain strict confidentiality over sensitive project details, business data, and intellectual property.
- Clients may request a formal Non-Disclosure Agreement (NDA) for an added fee.
- Breach of confidentiality may result in legal action.
8. FREELANCER CONDUCT
- Freelancers must meet deadlines, complete revisions, and maintain a high level of professionalism.
- Any attempt to bypass BorderlessPro or accept off-platform payments will result in immediate termination from our network.
- Freelancers must adhere to the project scope as agreed in writing.
9. CLIENT RESPONSIBILITIES
- Clients are responsible for providing all content, assets, approvals, and access needed to complete the project.
- Clients must approve milestones within 48 hours of delivery unless revision is requested.
- Clients must communicate in good faith and avoid abusive or unprofessional conduct.
10. DISPUTE RESOLUTION
- BorderlessPro acts as a neutral third party in the event of disputes.
- If a dispute cannot be resolved internally, parties may seek arbitration in accordance with the laws of Kenya.
- Decisions made by BorderlessPro on internal matters are final and binding.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, BorderlessPro will not be liable for:
- Any indirect, incidental, or consequential damages
- Delays caused by third-party tools or services
- Losses resulting from misuse or unauthorized modification of deliverables
- Data loss due to client error or negligence
12. TERMINATION
We reserve the right to suspend or terminate any user’s access to our services for:
- Breach of these Terms
- Fraudulent, deceptive, or abusive behavior
- Attempting to circumvent BorderlessPro’s payment system
13. MODIFICATION OF TERMS
BorderlessPro may update these Terms of Service at any time. When we do, we will revise the “Last Updated” date above. Continued use of the service constitutes acceptance of those changes.
