Partner Execution Agreement
Between:
BorderlessPro (You) — “The Principal”
[Freelancer’s Full Name] — “The Execution Partner”
1. Purpose
This agreement outlines the terms of collaboration where the Execution Partner will fulfill client work acquired under the BorderlessPro brand in exchange for a share of project revenue.
2. Revenue Sharing Models
a. Joint Execution (50/50 Model):
If both parties co-manage or co-deliver the project, net revenue will be split equally (50% / 50%) after direct project expenses.
b. Independent Execution (70/30 Model):
If the Execution Partner delivers the project fully, with minimal involvement from BorderlessPro beyond client acquisition, the net revenue split shall be:
- Execution Partner: 70%
- BorderlessPro: 30%
All revenue is collected by BorderlessPro and distributed post-delivery and client approval.
3. Scope of Work
- All project briefs, timelines, and deliverables shall be shared in writing.
- The Execution Partner agrees to deliver quality work that meets BorderlessPro’s standards.
- All communications with clients shall be managed by BorderlessPro unless explicitly authorized in writing.
4. Client Ownership & Confidentiality
- Clients remain the exclusive property of BorderlessPro.
- The Execution Partner agrees not to pitch, solicit, or accept direct work from any client introduced via BorderlessPro during the term of this agreement and for 12 months after project completion.
- A non-disclosure agreement (NDA) may be issued per project as needed.
5. Payments
- BorderlessPro shall disburse the Execution Partner’s share within 7 working days of client payment and project approval.
a. Quality Review and Revisions Clause
- Before any payment is released, the deliverable must pass an internal quality check conducted by BorderlessPro.
- If minor revisions are requested by the client during this phase, the Execution Partner agrees to implement them within a mutually agreed timeline.
- Payment will only be processed after the final deliverable is accepted by the client and confirmed by BorderlessPro.
- Payment method: [e.g., M-Pesa, PayPal, Bank Transfer]
- Invoices or payment requests should be submitted after successful delivery and approval.
6. Dispute Resolution
- Any disputes shall first be resolved through informal discussion and mediation.
- If unresolved, disputes will be subject to the jurisdiction of Kenyan commercial law or another jurisdiction agreed in writing.
7. Termination
- Either party may terminate this agreement with 14 days’ written notice.
- Ongoing projects at the time of termination must still be completed under the previously agreed terms.
