Memorandum of Understanding (MOU)

BorderlessPro (hereafter “The Platform”)
and
[Web Developer’s Full Name] (hereafter “The Partner”)

1. Purpose
This MOU outlines the mutual understanding between the parties regarding the execution and revenue sharing of freelance or client work sourced by BorderlessPro and fulfilled by The Partner.
2. Roles & Revenue Splits
Scenario A – Joint Work (50/50 Split):
If both parties contribute to the project (e.g. client management, delivery, or strategy), revenue from the client will be split 50% each after deducting any direct project expenses.
Scenario B – Independent Execution (70/30 Split):
If The Partner delivers the entire project while BorderlessPro handles only client sourcing or account ownership, the split shall be:
- Partner: 70%
- BorderlessPro: 30%
3. Project Scope & Delivery
- Each project’s scope will be shared in writing via email or a shared document.
- The Partner agrees to deliver high-quality work aligned with client requirements and timelines.
- BorderlessPro remains the client-facing brand in all cases.
4. Communication & Client Ownership
- All clients introduced via BorderlessPro remain its exclusive relationships.
- The Partner shall not engage the client directly for independent work during the project and for 6 months afterward without written permission.
- All communication with clients must occur through BorderlessPro unless otherwise agreed.
5. Payment Terms
- BorderlessPro will collect payment from the client and distribute the Partner’s share within 7 working days after project completion and client approval.

6. Duration & Termination
- This MOU is valid from the date signed and applies to any joint projects initiated during this collaboration.
- Either party may exit the agreement with written notice, provided current projects are fulfilled under the agreed split.

This MOU is not a legally binding agreement but is based on mutual respect, clear communication, and shared professional standards.
