1. Scope of Services
BorderlessPro agrees to deliver curated, pre-vetted freelance talent recommendations to the client, based on the selected hiring package. This includes:
- Needs assessment via intake or strategy call
- Talent sourcing and manual vetting
- Shortlist delivery of 3–7 top candidates per role
- Candidate introduction and interview coordination
- Optional onboarding support (available on Growth and Elite plans)
BorderlessPro does not act as an employer of record unless explicitly agreed under a separate arrangement.
2. Engagement Timeline
- Starter Match: 1 role, delivered within 5–7 business days
- Growth Build: Up to 3 roles, delivered within 14–21 business days
- Elite Retainer: Ongoing sourcing and placements; timeline per role agreed via weekly intake
Timeline starts upon full payment and confirmed scope alignment.
3. Client Responsibilities
The Client agrees to:
- Provide complete and accurate role requirements
- Be available for scheduled strategy and feedback calls
- Communicate hiring decisions within 5 business days of shortlist delivery
- Handle direct contracts and payments with selected freelancers, unless otherwise agreed
4. Payment Terms
- 100% payment is required upfront before sourcing begins
- All pricing is in KES/USD and exclusive of applicable taxes
- For retainer plans, invoices are issued monthly on a rolling basis
- No refunds once talent sourcing has commenced
5. Candidate Exclusivity & Use
- Shortlisted candidates remain exclusive to the Client for 14 days after delivery
- If the Client does not engage any candidate within 14 days, BorderlessPro may recommend them to other clients
- The Client may not resell or redistribute any candidate CVs or profiles
6. Replacement Guarantee
BorderlessPro offers one free replacement if a hired freelancer:
- Leaves or is terminated within 14 calendar days
- Provided the reason is not a change in role, scope, or budget
Replacement is delivered within 7 business days under the same role definition.
7. Non-Solicitation
For a period of 12 months following the introduction of a freelancer, the Client agrees not to circumvent BorderlessPro by engaging the freelancer in a direct hiring relationship outside the agreed engagement, unless:
- A buyout fee is paid (20% of freelancer’s annualized rate)
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary business, candidate, and financial information shared during this engagement.
9. Liability Disclaimer
BorderlessPro vets candidates to the best of its ability but makes no guarantees on freelancer performance post-engagement. Final hiring decisions and contracts are the Client’s responsibility.
10. Governing Law
This Agreement shall be governed by and interpreted under the laws of the Republic of Kenya, unless otherwise agreed in writing.
11. Dispute Resolution
Any disputes arising out of this Agreement shall be resolved amicably through mutual discussion. If unresolved within 14 days, disputes may be submitted to arbitration in Mombasa, Kenya.
12. Modifications
Any changes to the scope, fees, or terms must be agreed upon in writing by both parties.
13. Termination Clause
- Either party may terminate the engagement with 7 days written notice.
- No refunds are issued for services already rendered or in progress.
