Applies to: All freelancers, consultants, and independent contractors sourcing work via BorderlessPro
1. Eligibility
To join BorderlessPro as a freelancer, you must:
- Be at least 18 years old
- Have the legal right to work as a freelancer in your country
- Submit a truthful and complete application with verified identity, skills, and samples
- Abide by the platform’s quality, conduct, and response standards
2. Engagement Model
BorderlessPro is not an employer.
You are an independent contractor responsible for:
- Your own taxes, compliance, and licensing
- Invoicing clients directly (unless handled under managed services)
- Delivering agreed outcomes to clients on time and at the quality advertised
Clients may engage you directly or via BorderlessPro as an intermediary.
3. Payments and Payouts
a) Direct Engagements (Most Common)
- Once introduced, you invoice the client directly and negotiate payment terms
- BorderlessPro does not handle or guarantee client payment unless you are under our Elite Onboarding Plan
b) Managed Contracts (Elite Only or Special Projects)
- BorderlessPro may act as intermediary and handle funds
- Payouts are made via bank or mobile money (e.g., M-PESA) within 5 business days of client payment
- No cash payouts allowed
4. Confidentiality
You agree to keep all client materials, project data, and communications confidential unless authorized in writing.
You may not share or reuse any work without client consent.
5. Ownership of Work
Unless agreed otherwise:
- All work created during a paid engagement becomes the intellectual property of the client
- You retain rights to your previous portfolio, templates, or tools unless specifically licensed
6. Non-Circumvention
If a client is introduced to you by BorderlessPro:
- You may not bypass the platform to create a direct contract within 12 months without written approval
- Violations may result in removal and a 20% penalty on the total deal value
7. Freelancer Conduct and Standards
Freelancers are expected to:
- Respond to client inquiries within 24–48 hours
- Communicate delays early and proactively
- Maintain professionalism and clarity in all interactions
- Not misrepresent skills, experience, or portfolio
8. Prohibited Use
You may not use BorderlessPro to:
- Solicit illegal work
- Spam or harass clients or other freelancers
- Misrepresent credentials or copy others’ work
- Engage in hate speech, discrimination, or fraud
Violations lead to suspension or permanent ban.
9. Disputes and Resolution
- Disputes between freelancers and clients are first handled by mutual communication
- If unresolved, you may escalate to BorderlessPro for mediation
- We reserve the right to recommend, remove, or block any freelancer based on repeated disputes or unresolved complaints
10. Account Deactivation
Freelancers may request account deactivation anytime.
BorderlessPro also reserves the right to deactivate your profile if:
- You fail to respond to project requests
- You breach the terms stated above
- You receive repeated verified complaints
11. Governing Law
This Agreement is governed by the laws of the Republic of Kenya.
Any disputes shall be resolved through arbitration in Mombasa.
